1. Platform Purpose
Oliver Kaposi & Company operates a private M&A matching and controlled introduction platform focused on acquisition opportunities across Central & Eastern Europe.
The platform is designed to help qualified buyers, sellers, sell-side advisors, and approved intermediaries identify potential acquisition fit through blind mandates, buyer criteria, reviewed matches, teaser access, and controlled introduction workflows.
Oliver Kaposi & Company is not a public company database, public listing board, mass teaser distribution service, broker-dealer, investment adviser, legal adviser, tax adviser, or full M&A advisory firm. Unless separately agreed in writing, Oliver Kaposi & Company does not manage transaction execution, due diligence, negotiations, legal documentation, valuation advice, financing, or closing.
2. Account Request and Access
Submitting an access request does not guarantee platform access. Oliver Kaposi & Company may approve, reject, suspend, restrict, or terminate access at its discretion.
You confirm that the information you submit is accurate to the best of your knowledge and that you are requesting access for legitimate business, investment, acquisition, advisory, or transaction-related purposes.
You must keep your account information accurate and up to date.
3. Authority to Request Access and Bind a Company
If you submit an access request or accept these Terms on behalf of a company, firm, fund, advisory firm, investment vehicle, group company, or other legal entity, you represent that you are authorized to request platform access for that entity.
You acknowledge that requesting access is not the same as having authority to bind the company to transaction-specific, fee-bearing, or protected opportunity obligations.
If you are not authorized to bind the company, or are unsure whether you are authorized, you must indicate this and provide details of an authorized signatory or senior representative where requested.
Oliver Kaposi & Company may require additional company authorization, signatory confirmation, signed agreement, power of attorney, board approval, company registry evidence, or admin verification before permitting protected opportunity access, introduction requests, mandate activation, or other legally sensitive platform actions.
A user's access to the platform does not by itself prove that the user has authority to bind the company to all future obligations.
4. Role Flexibility
After registration or approval, an account may request Buyer access, Seller / Sell-side advisor access, or both, subject to onboarding, profile completion, platform review, authority checks, and any additional role-specific terms.
Additional terms may apply later depending on role and actions inside the platform, including buyer protected opportunity access terms, introduction request terms, seller/advisor mandate responsibility terms, company authorization agreements, or other transaction-specific acknowledgements.
5. Confidentiality
Information accessed through the platform may be confidential, commercially sensitive, non-public, or subject to controlled disclosure.
You agree to treat all non-public platform information, blind mandates, teasers, buyer criteria, seller/advisor information, match information, introduction information, platform communications, and related materials as confidential unless Oliver Kaposi & Company confirms otherwise in writing or the information is clearly public through no breach of these Terms.
You must not disclose, copy, forward, publish, scrape, resell, distribute, or use platform information outside the intended platform workflow without authorization.
6. No Public Marketplace
The platform is not a public marketplace. Buyers are not entitled to browse all opportunities. Sellers and advisors are not entitled to public listing exposure. Opportunities may be reviewed, filtered, matched, released, withheld, paused, archived, or removed according to platform workflow and admin review.
7. Buyer Responsibilities
If you use or later request Buyer access, acquisition criteria and company information must be accurate and kept up to date. You must use opportunity information only for evaluating potential acquisition interest through the platform workflow and must not attempt to circumvent the platform or misuse confidential information.
This registration agreement does not by itself create the final buyer success fee obligation for a specific transaction. Any specific success fee, protected opportunity, and introduction terms must be accepted separately at the relevant stage of the platform workflow.
8. Seller / Sell-side Advisor Responsibilities
If you use or later request Seller or Sell-side advisor access, mandate information you submit must be accurate to the best of your knowledge, kept up to date, and submitted as blind buyer-visible profiles unless a field is explicitly marked as admin-only/internal.
Buyer-visible mandate information must not include seller company name, target identity, exact address, website, registration number, owner names, or other identifying confidential information. Repeated stale, inaccurate, misleading, duplicate, non-existent, or accidentally identifying mandate submissions may affect internal account review.
9. No Guarantee and No Advisory Relationship
Oliver Kaposi & Company does not guarantee access approval, availability of buyers or opportunities, buyer interest, seller interest, transaction completion, valuation, financing, legal outcome, timing, exclusivity, or confidentiality beyond the controls and obligations stated in applicable terms.
Unless separately agreed in writing, Oliver Kaposi & Company does not provide legal, tax, accounting, investment, financial, valuation, regulatory, or transaction execution advice.
10. Acceptable Use and No Circumvention
You must not submit false, misleading, fraudulent, unlawful, or unauthorized information; impersonate another person or company; create accounts for fake or unauthorized entities; scrape, resell, spam, upload malware, bypass access controls, or misuse confidential information.
Specific non-circumvention, protected opportunity, success fee, and introduction terms may apply later to specific opportunities and must be accepted separately where required.
11. Data, Privacy, Audit Logs, and Platform Changes
You acknowledge that Oliver Kaposi & Company may process information you submit for access review, onboarding, account administration, platform operation, security, audit logs, communication, analytics, and controlled matching workflows.
Acceptance records may include timestamp, submitted email, company name, user/account identifiers if available, IP hash or similar technical metadata, user agent, accepted terms version, authority declaration, and related request metadata.
Oliver Kaposi & Company may update, change, suspend, or discontinue parts of the platform, features, workflows, or access rules from time to time.
12. Limitation of Responsibility and Updates
To the maximum extent permitted by applicable law, Oliver Kaposi & Company is not responsible for inaccurate information submitted by users, unauthorized access requests, users falsely representing their authority, confidential information entered into buyer-visible fields, stale or unavailable mandates, user misuse of information, failed transactions, third-party advice, or reliance on incomplete, inaccurate, or outdated user-submitted information.
Oliver Kaposi & Company may update these Terms from time to time. Past acceptances should remain linked to the exact version accepted at the time.
13. Governing Terms Placeholder and Acceptance
Final governing law, jurisdiction, dispute resolution, liability, enforceability, electronic signature, company authority, and signatory verification language will be reviewed and finalized by legal counsel.
By submitting an access request, you confirm that you have read and agree to these Terms and Conditions, understand the platform's controlled access model, and acknowledge that additional role-specific, company authority, or opportunity-specific terms may apply later.
